Unlimited License Agreement

 

This License Agreement ("Agreement") is made and entered into as of [Date], by and between:

Licensee (Artist/Company):

1. Grant of License

The Licensor hereby grants the Licensee a non-exclusive, unlimited, worldwide license to use the musical composition titled:

"Track Name"
(Duration: [Length])
(Original Work ID: [ISRC/UPC or internal reference])

in the following manner:

  • Reproduce, distribute, perform, and synchronize the composition in unlimited quantities.

  • Use in commercial recordings, music videos, performances, films, ads, broadcasts, and other media.

  • Monetize through sales, streaming platforms (e.g., Spotify, Apple Music), YouTube, TikTok, and other outlets.

  • Use in perpetuity with no expiration date.

This license does not transfer ownership or copyright of the composition. The Licensor retains all rights as the copyright owner under the Copyright Act (R.S.C., 1985, c. C-42).

 

2. Compensation

Licensee agrees to pay a one-time licensing fee of [CAD $50.00] (plus applicable taxes under BC provincial law) upon execution of this Agreement. No further royalties, mechanical fees, or performance fees are due to the Licensor from the Licensee.

 

3. Publishing and Credit

  • The Licensor retains 100% of the writer’s share and 100% of the publisher’s share, unless otherwise negotiated in writing.

  • Licensee must give credit where applicable:
    “Produced by [Licensor Name]” or similar in digital metadata and public credits.

 

4. Performance Rights & Registration

The Licensee is responsible for registering their version of the song with SOCAN (or their local PRO). Licensor's information must be included for proper attribution and royalty distribution.

 

5. Sample Clearance

The Licensor confirms that the composition contains no uncleared third-party samples and is an original work, or all samples used have been legally cleared. Licensor indemnifies the Licensee against third-party claims regarding unauthorized sample use.

 

6. Ownership

This Agreement is a license only. The Licensor remains the sole and exclusive owner of the original master and composition, including all copyright, publishing, and neighboring rights.

 

7. Limitation of Liability

The Licensor is not liable for any indirect, incidental, or consequential damages arising from the Licensee’s use of the composition. Licensee assumes all responsibility for how the track is used and distributed.

 

8. Termination

This Agreement cannot be revoked, terminated, or altered without mutual written consent. Breach of terms by Licensee may result in legal action under applicable laws.

 

9. Jurisdiction

This Agreement shall be governed by and interpreted under the laws of the Province of British Columbia and the federal laws of Canada. Any disputes shall be resolved in the courts located in Vancouver, BC, unless otherwise agreed.

 

10. Entire Agreement

This document constitutes the entire agreement between the parties and supersedes all previous agreements or understandings. Any amendments must be in writing and signed by both parties.
